Terms of Service: Core Ledger

If you or your organization uses Core Ledger, Bechellente's cloud accounting and payroll platform, these terms apply to you.

Acceptance of These Terms

Effective 15 August 2026.

Core Ledger is a product of Bechellente Limited ("Bechellente," "we," "us"), a company registered in England and Wales, company number 15892202. These Terms of Service ("Terms") govern your organization's ("Customer," "you," "your") access to and use of Core Ledger. By registering for an account, you confirm that you have authority to bind your organization to these Terms, and that you accept them and our Privacy Policy, which is incorporated by reference. If you do not agree, do not register for or use Core Ledger.

Definitions
  • "Account" means your organization's Core Ledger tenant.
  • "Authorized User" means an individual you invite to access your Account under a defined role.
  • "Customer Data" means all data you or your Authorized Users submit to, or generate within, Core Ledger, including financial records, employee/payroll data, customer and vendor data, and uploaded documents.
  • "Subscription Plan" means the pricing tier (currently Basic or Standard) governing your feature access and usage limits.
Eligibility and Account Registration
You must provide accurate, current information when registering, and keep it up to date. You are responsible for all activity under your Account, including actions taken by Authorized Users you invite. You must promptly notify us of any unauthorized access.
Description of Service

Core Ledger provides cloud-based accounting, bookkeeping, and Nigerian tax-compliance tools, including: chart of accounts, invoicing/revenue, expense and purchase management, customer and vendor management, fixed asset and depreciation tracking, bank feed connection and reconciliation, bulk data import, financial reporting (P&L, balance sheet, cash flow, trial balance), VAT/WHT/CIT computation, capital allowance computation, and payroll processing (PAYE, pension, NHF, payslip generation).

Core Ledger is a bookkeeping and computation tool, not a licensed tax, accounting, or legal advisory service. Tax and payroll computations are provided to assist your organization's own compliance process; they do not constitute professional advice, and your organization remains solely responsible for the accuracy of the data you enter and for meeting its own statutory tax, payroll, and accounting obligations. Where Core Ledger offers AI-assisted document data extraction, extracted data is provided for your convenience only and must be verified by you before use — Bechellente does not warrant its accuracy.

Subscription Plans, Fees, and Billing
  • Core Ledger is offered under paid Subscription Plans (currently Basic and Standard), billed monthly or annually at the rates published for your region at checkout.
  • Core Ledger does not currently offer a free trial. A demo environment may be made available to prospective customers upon request.
  • Payments are processed by our payment partner, Paystack. You will be redirected to Paystack's own checkout to enter payment details; Bechellente does not receive or store your card details.
  • Subscriptions do not renew automatically. You are responsible for renewing your subscription on or before its expiration date. If a subscription is not renewed by its expiration date, a 7-day grace period applies, after which your Account is suspended until you renew.
  • Each Subscription Plan includes a defined set of features and a maximum number of Authorized User seats. If your active user count exceeds your plan's seat limit (for example, after a downgrade), only the affected excess users are individually restricted from accessing the Account until you upgrade your plan or reduce your active user count — this does not suspend the Account as a whole. Removing a user frees a seat, which may automatically restore access to a previously restricted user.
  • We may change our pricing with at least 3 months' advance notice before it takes effect on your next renewal.
Customer Data — Ownership and License

You retain all ownership rights in your Customer Data. By submitting Customer Data to Core Ledger, you grant Bechellente a limited license to host, process, transmit, and display it solely to provide, maintain, and support the service, and as otherwise described in our Privacy Policy. We will not use your Customer Data to train AI models or share it with other customers.

Where you submit personal data about your own employees, customers, or vendors, you are the data controller for that data and Bechellente acts as your data processor, consistent with our Privacy Policy. You are responsible for having a lawful basis to provide us with that data, including data entered via bulk CSV import.

Acceptable Use
You will not: use Core Ledger for any unlawful purpose; attempt to access another organization's data or circumvent tenant isolation; upload data you do not have the right to provide (including a third party's personal data without lawful basis); reverse-engineer or resell the service; or interfere with the service's operation or security.
Bank Feed / Open Banking Connections
If you choose to connect a bank account, that connection is authorized through, and governed by, our Open Banking partner's own consent flow and the shared Bechellente banking service's terms. You may disconnect a linked account at any time within Core Ledger. Core Ledger converts confirmed bank transactions into accounting records at your instruction; it does not request or store your bank login credentials.
Third-Party Services
Core Ledger integrates with third-party services, including Paystack (payments), Google Places (address lookup), and an AI document-extraction provider (optional invoice/receipt data extraction). Your use of these integrated features is also subject to the relevant third party's own terms where applicable, disclosed in our Privacy Policy.
Intellectual Property
Core Ledger, including its software, design, and underlying technology, is the property of Bechellente Limited or its licensors. These Terms grant you no rights to our intellectual property beyond the right to use the service as described here.
Confidentiality
Each party will protect the other's confidential information (including non-public business and Customer Data) with reasonable care, and use it only as necessary to perform under these Terms.
Suspension, Cancellation, and Account Deletion

Suspension. We may suspend your Account for non-payment beyond the grace period described above, violation of these Terms, or if required by law. A seat/plan overage does not result in Account-wide suspension — only the affected excess users are restricted.

Cancelling your subscription. You may cancel your subscription at any time. Cancellation stops future billing — you will not be invoiced for subsequent billing cycles — and your access to Core Ledger continues until the end of your current, already-paid billing cycle, after which access is denied. Cancelling your subscription does not delete your Customer Data.

Deleting your Account. To have your Customer Data deleted, you must first cancel your subscription, then separately request Account deletion. Once requested, your Account enters a temporary deletion state at the end of your current billing cycle. You may restore your Account at any point during the following 30 days; after that window, your Customer Data is permanently and irreversibly deleted. Before requesting deletion, we recommend exporting any records you are required to retain for your own tax, accounting, or legal purposes, using Core Ledger's export tools — Bechellente does not retain a copy of your Customer Data after permanent deletion.

Disclaimers
While Core Ledger is built and maintained with due diligence to support accurate financial record-keeping, computation, and reporting, it is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, and do not warrant that the service will be uninterrupted, error-free, or that tax/payroll computations will be accepted without modification by any tax authority.
Limitation of Liability
To the fullest extent permitted by law, Bechellente's aggregate liability arising out of or related to these Terms or the service will not exceed the total fees you paid us in the 12 months preceding the event giving rise to the claim. This cap does not apply to breaches of confidentiality, infringement of intellectual property rights, or willful misconduct or fraud. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages.
Indemnification
You agree to indemnify and hold Bechellente harmless from claims arising out of your breach of these Terms, your Customer Data, or your violation of applicable law, including data protection law with respect to personal data you submit to the service.
Governing Law

These Terms are governed by the laws of England and Wales, and any dispute arising out of or relating to these Terms is subject to the exclusive jurisdiction of the courts of England and Wales, except as set out below.

Nothing in these Terms excludes or limits any right or protection you are entitled to under the Federal Competition and Consumer Protection Act 2018 (Nigeria) or other mandatory Nigerian consumer-protection law that cannot lawfully be excluded or limited by contract. Where you are located in Nigeria, you may also raise a relevant complaint with the Federal Competition and Consumer Protection Commission (FCCPC).

Changes to These Terms
We may update these Terms from time to time. For material changes, we will require you to re-accept the updated Terms before continuing to use the service, rather than relying on continued use as acceptance.
